TERM & CONDITIONS

Effective Date: October 17, 2026

These Terms & Conditions (“Terms”) govern your use of the Health X Institute™ (“HXI”) website, programs, educational resources, coaching services, and related services operated by Health X Systems LLC (“we,” “us,” or “our”).

By accessing our website, purchasing a product or service, or enrolling in an HXI program, you agree to these Terms and any additional agreement applicable to the service you purchase.

1. Purpose of HXI Services

HXI provides health education, health coaching, behavioral-change support, adherence-focused programs, and related educational resources.

HXI services are intended to support informed health engagement and sustainable behavior change.

Coaching and educational services do not constitute medical diagnosis, treatment, emergency care, psychotherapy, or individualized medical care and are not substitutes for care from an appropriately licensed healthcare professional.

Participation in HXI services does not establish a physician-patient relationship with HXI or Health X Systems LLC.

2. Eligibility & Client Responsibility

You agree to provide accurate information reasonably necessary for the services in which you participate.

You remain responsible for your healthcare decisions, participation in coaching, and communication with your healthcare professionals.

Do not disregard, discontinue, or modify prescribed medical treatment based solely on information received through an HXI coaching or educational program. Questions concerning medications, diagnoses, treatment plans, or medical symptoms should be directed to an appropriate healthcare professional.

For a medical emergency, contact 911 or the appropriate local emergency service.

3. Enrollment, Fees & Payment

Prices, deposits, payment schedules, and program inclusions will be disclosed before enrollment.

Where an enrollment deposit is required, the deposit is non-refundable, except where otherwise required by law.

Clients are responsible for charges they authorize and for payment obligations established in their applicable enrollment or coaching agreement.

4. Cancellations & Refunds

Eligible program fees are subject to HXI's 3-Day Money-Back Guarantee, beginning on the original purchase date.

Pathway Consultation and Intake sessions are excluded from the amount eligible for refund. That is, the CAS Onboarding Session or Pathway Consultation, once time initiates, whether in attendance or no show is non-refundable.

After the applicable 3-day period, fees are generally non-refundable except as provided in the applicable agreement or required by law.

Appointment cancellations, rescheduling, missed sessions, payment plans, and other refund conditions are governed by the HXI Cancellation & Refund Policy and any program-specific agreement.

5. Scheduling

Clients may schedule, cancel, or reschedule eligible appointments through the scheduling system provided by HXI, subject to appointment availability and applicable cancellation requirements.

HXI may reschedule an appointment when reasonably necessary and will make reasonable efforts to provide notice.

6. Privacy & Health Information

HXI may collect personal and health-related information necessary to administer coaching, educational programs, assessments, payments, communications, and related services.

Our collection, use, disclosure, retention, and protection of personal information are described in the HXI Privacy Policy.

The collection of health-related information does not, by itself, mean that every HXI service or record is governed by HIPAA.

Where HIPAA or another applicable privacy law governs a particular HXI activity, HXI will handle the relevant information in accordance with applicable legal requirements.

Family visit and disclosure:

Gold includes one 30-minute CAS Family/Support-System Visit with no more than three people total: client, emergency contact if available and expressly authorized, and one other client-chosen person. Chosen family and blood family are eligible. HXI requires the client’s advance specific disclosure authorization and all attendees’ signatures at the visit. Attendance or emergency-contact status alone confers no record-access rights. Other tiers receive no additional family appointment unless expressly scheduled.

7. Communications

By providing contact information, you authorize HXI to send communications reasonably necessary to administer services you request, including appointment information, program communications, payment notices, and administrative messages.

Marketing communications may be discontinued using the applicable unsubscribe mechanism.

8. Intellectual Property

Unless otherwise stated, HXI programs, frameworks, assessments, educational materials, written content, graphics, worksheets, journals, course materials, and other original materials are owned by or licensed to Health X Systems LLC and are protected to the extent provided by applicable intellectual-property law.

Purchasing or accessing HXI materials grants you a limited right to use them for their intended personal or authorized purpose. It does not transfer ownership or grant permission to reproduce, publish, distribute, sell, sublicense, commercially exploit, or create unauthorized copies of proprietary materials.

Applicable trademarks remain the property of their respective owners.

9. No Guaranteed Results

Health and behavioral outcomes vary among individuals.

HXI does not guarantee that participation in coaching, education, the Clinical Adherence System, BSAI assessments, or another HXI program will produce a particular medical, behavioral, financial, or other outcome.

Assessments and scores provided through HXI are intended for their stated coaching or educational purposes and should not be interpreted as medical diagnoses unless expressly identified otherwise by an appropriately licensed healthcare professional acting within their professional capacity.

10. Third-Party Services

HXI may use third-party platforms to provide scheduling, payments, communications, practice management, website functionality, or other services.

Use of those services may also be subject to the applicable provider's terms and privacy practices.

HXI is not responsible for the independent acts or practices of third parties outside HXI's reasonable control.

11. Acceptable Use

You may not use HXI websites, services, or materials to engage in unlawful activity; interfere with our systems or services; gain unauthorized access to information; impersonate another person; infringe intellectual-property rights; or distribute proprietary HXI materials without authorization.

HXI may suspend or terminate access where reasonably necessary to protect clients, systems, intellectual property, or the integrity of its services.

12. Changes to Services or Terms

HXI may update these Terms or modify its programs and services as its operations, technology, or legal obligations evolve.

Material changes will be communicated where required by applicable law. The effective or updated date displayed with these Terms identifies the current version.

13. Governing Law

These Terms are governed by applicable federal law and the laws of the State of New York, without limiting any non-waivable consumer rights available under applicable law.

14. Contact

Questions regarding these Terms may be submitted using the contact information published on the HXI website.
